NorthStar Gaming Secures Historic Investment and Credit Support

NorthStar Gaming, a prominent player in the casino industry, recently made headlines by announcing a substantial investment and additional credit support. This significant financial boost marks a milestone for NorthStar, signaling its largest financing to date.

The Biggest Investment in NorthStar’s History

NorthStar Gaming revealed that it has finalized a credit agreement to secure a CAD 43.4 million ($30 million) senior secured first lien term loan facility. Pending final approval from the TSX Venture Exchange, Beach Point Capital Management will provide the credit facility, marking a crucial step in NorthStar’s growth trajectory.

Playtech and some of its subsidiaries have also stepped in to offer credit support for certain obligations under the facility, further strengthening NorthStar’s financial position.

The credit facility comes with a competitive interest rate of SOFR + 9.35% and a SOFR floor of 4.40%. The amortization payment has been deferred for the first 30 months, followed by a gradual repayment plan. The facility is scheduled to mature on January 24, 2030, providing NorthStar with ample time to leverage the investment for its business expansion.

Utilizing the Credit Facility for Growth

NorthStar Gaming intends to utilize the credit facility to bolster its growth initiatives and reinforce its balance sheet. The company plans to repay an aggregate CAD 9.5 million principal amount owed to Playtech and allocate CAD 7 million to an interest reserve account. Additionally, the funds will be used for working capital, general corporate purposes, and covering transaction costs related to the credit facility.

Playtech Backed NorthStar

With Playtech providing a credit guarantee, NorthStar was able to proceed with the transaction smoothly. In return, NorthStar issued common share purchase warrants to Playtech, allowing them to purchase stock at a premium price of CAD 0.055 per share.
